Terms & Conditions

Dutch law applies; courts of Amsterdam have jurisdiction.

These Terms & Conditions (“Terms”) govern the provision of services by ClarityLabel.com (“we”, “us”), based in the Netherlands. By engaging our services, you agree to these Terms.

1. Definitions

“Client” means the contracting party receiving services. “Deliverables” means outputs defined in a statement of work or order (the “SOW”).

2. Services & SOW

Services, deliverables, formats, and timelines are defined in the SOW. Changes require mutual written agreement (email sufficient) and may affect pricing and timelines.

3. Client Obligations

  • Provide accurate and lawful data and instructions.
  • Ensure necessary rights and permissions in datasets.
  • Nominate a single point of contact for approvals.

4. Confidentiality & Data Protection

We will keep Client data confidential and sign NDAs on request. We process personal data in accordance with the GDPR and Dutch law, acting as processor or controller as applicable and as defined in the SOW.

5. Fees & Payment

Fees are agreed before project start. Default payment term is net 14 days. Late payments may accrue statutory interest under the Dutch Civil Code.

6. Intellectual Property

Except for pre-existing materials and tooling, all rights in the Deliverables are assigned to Client upon full payment, unless otherwise agreed in the SOW.

7. Warranties & Disclaimer

We warrant professional services performed with reasonable skill and care. Except as expressly stated, services are provided “as is”; no implied warranties are given.

8. Liability

We are not liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to fees paid for the specific SOW in the 3 months preceding the claim.

9. Term & Termination

Either party may terminate for material breach not cured within 14 days of written notice. Upon termination, Client pays for services delivered up to the termination date.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of the Netherlands. Disputes are subject to the exclusive jurisdiction of the competent courts in Amsterdam.

11. Changes to Terms

We may update these Terms from time to time. The current version is posted on this page with the effective date.
